01Agreement to these terms

These Terms of Use ("Terms") govern your access to and use of fundreadyusa.com and any related pages, forms, and services (the "Site") operated by Fund Ready USA LLC ("Fund Ready USA," "we," "us," or "our"). By using the Site or submitting a funding request, you agree to these Terms. If you do not agree, do not use the Site.

Our Privacy Policy is incorporated into these Terms by reference.

02What we do — and what we don't

Fund Ready USA is a funding broker. We are not a lender, a funding provider, or a bank. We do not make credit decisions, underwrite transactions, set terms, or disburse funds.

What we do is take the information and documents you provide, present your file to one or more third-party funding partners, and bring their responses back to you. Every decision about whether to extend funding, in what amount, and on what terms is made solely by the funding partner, according to its own criteria. Any funding you receive is governed by a separate agreement between you and that funding partner — not by these Terms.

We do not represent all funding providers in the market, and the quotes we present may not represent every offer available to your business.

03No fees to you

We do not charge applicants any fee at any point — no application fee, no processing fee, no advance fee, and no fee to receive a quote. We are compensated by our funding partner, and only if a transaction is funded. If anyone claiming to represent Fund Ready USA asks you to pay a fee in order to obtain funding, do not pay it, and contact us immediately using the details in Section 20.

04Eligibility

The Site is intended for business purposes only. By using it, you represent that you are at least 18 years old, that you are the owner or an authorized representative of the business you are submitting, that you have authority to bind that business and to provide its information and documents, and that you are seeking funding for business purposes and not for personal, family, or household purposes.

05Your submissions

You agree that all information and documents you provide are true, accurate, current, and complete, and that you have the right to provide them. Submitting false or misleading information — including altered financial records — may result in denial of your request, termination of your access to the Site, and referral to our funding partners or to law enforcement where appropriate.

You are responsible for maintaining the confidentiality of your own credentials and for the security of the devices you use. Do not send us online banking usernames or passwords; we will never ask for them.

06Authorization to submit your file

By submitting a funding request, you authorize Fund Ready USA to transmit the information and documents you provide to one or more funding partners for the purpose of evaluating your request, and you authorize those funding partners to review that information. Depending on the funding partner's process, that review may include obtaining business and personal credit reports and verifying the information you have provided. Specific credit authorizations, where required, will be presented to you separately for signature.

You may withdraw this authorization at any time before you sign a funding agreement by contacting us. Withdrawal does not affect submissions already made or actions already taken.

07Quotes are not offers or approvals

Any quote, estimate, indication, or pre-qualification we present is informational and is not a commitment to fund, an offer, or an approval. All quotes are subject to the funding partner's underwriting, verification, and final approval, and may change or be withdrawn. Submitting a request does not guarantee that you will receive an offer or funding.

Complete and final terms — including the total payback amount, payment amounts, and payment schedule — are disclosed by the funding partner in its own agreement and any required disclosures before you sign. Read them carefully. Products offered by our funding partners may include revenue-based financing, which is not a loan and carries costs that differ from traditional bank financing.

08Funding timelines

References on the Site to funding "in as little as 48 hours" or similar timeframes describe typical timing on approved files that are complete and fully documented. They are estimates, not guarantees. Actual timing depends on the funding partner's underwriting and processing, the completeness and accuracy of your file, verification requirements, bank processing times, and business days and holidays. We do not control any of these and do not guarantee any particular timeline.

09Not financial or legal advice

Nothing on the Site or in our communications with you is financial, tax, accounting, or legal advice, and we are not acting as your fiduciary. Business funding carries real costs and real risk, and what is appropriate for one business may be wrong for another. You are responsible for evaluating whether any funding product suits your business, and we encourage you to review any offer with your accountant or attorney before signing.

10Communications and consent

By submitting a request and checking the authorization box, you consent to be contacted by Fund Ready USA and its funding partners at the phone number and email address you provide, including by phone call, text message, and automated or prerecorded means, regarding business funding. Consent is not a condition of any funding. Message and data rates may apply. You may revoke consent at any time by replying STOP to a text, telling a representative on a call, or contacting us using the details in Section 20. See our Privacy Policy for more.

You agree that we may record calls for quality and training purposes where we disclose that to you and where permitted by applicable law.

11Acceptable use

You agree not to:

  • Use the Site for any unlawful purpose, or in violation of these Terms.
  • Submit information about a business you are not authorized to represent, or impersonate any person or entity.
  • Attempt to gain unauthorized access to the Site, our systems, or any data not intended for you.
  • Scrape, harvest, or use automated means to access the Site, or interfere with its operation or security.
  • Introduce malware or any code intended to disrupt or damage the Site.
  • Reproduce, resell, or commercially exploit the Site or its contents without our written permission.

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including a violation of these Terms.

12Intellectual property

The Site and its contents — including text, graphics, design, and the Fund Ready USA name and logo — are owned by Fund Ready USA LLC or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Site for the purpose of requesting business funding. No other rights are granted.

You retain ownership of the information and documents you submit. You grant us a license to use, copy, transmit, and store them as necessary to provide our services, including submitting them to funding partners, and as described in our Privacy Policy.

13Third-party sites and partners

The Site may link to or interact with websites and services we do not control, including those of our funding partners and service providers. We are not responsible for their content, practices, products, or agreements with you. Your dealings with any funding partner — including any funding agreement you sign — are solely between you and that partner.

14Disclaimer of warranties

THE SITE AND OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT ANY INFORMATION ON IT IS ACCURATE OR COMPLETE, OR THAT YOU WILL RECEIVE AN OFFER, AN APPROVAL, FUNDING, OR ANY PARTICULAR TERMS OR TIMELINE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

15Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUND READY USA LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SITE, OUR SERVICES, OR ANY FUNDING PARTNER'S DECISION, TERMS, CONDUCT, OR AGREEMENT — WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY, AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE OR OUR SERVICES WILL NOT EXCEED ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

16Indemnification

You agree to indemnify, defend, and hold harmless Fund Ready USA LLC and its owners, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Site, the information or documents you submit, your breach of these Terms, or your violation of any law or third-party right.

17Dispute resolution

Please read this section carefully. It affects your legal rights. It requires most disputes to be resolved by individual arbitration rather than in court, and it waives your right to a jury trial and to participate in a class action. These obligations are mutual — they apply equally to you and to Fund Ready USA. You may opt out within 30 days as described in 17.5.

17.1 Informal resolution first. Before either party initiates arbitration or files any claim, that party must first send the other written notice describing the dispute and the relief sought. Notice to us goes to the address or email in Section 20; notice to you goes to the contact information you provided. Both parties agree to attempt in good faith to resolve the dispute informally for at least thirty (30) days after that notice. This step is a precondition to filing, and it applies equally to both parties.

17.2 Agreement to arbitrate. If the dispute is not resolved informally, you and Fund Ready USA each agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or our services — whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory — shall be resolved by binding individual arbitration, and not in court. This obligation is mutual and binds both parties equally.

17.3 Arbitration procedure. The arbitration shall be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, before a single arbitrator. The seat of arbitration shall be Miami-Dade County, Florida. The Federal Arbitration Act governs the interpretation and enforcement of this Section. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction. Each party shall bear its own attorneys' fees and costs unless a statute or the arbitrator's award provides otherwise, and administrative and arbitrator fees shall be allocated in accordance with the applicable AAA rules.

17.4 Exceptions. Notwithstanding the above, either party may (a) bring an individual claim in a small claims court of competent jurisdiction if the claim qualifies and remains in that court, and (b) seek temporary or preliminary injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property, unauthorized access to systems or data, or breach of confidentiality obligations. Seeking such relief does not waive either party's rights under this Section.

17.5 Class action and jury trial waiver. You and Fund Ready USA each agree that any proceeding will be brought only in an individual capacity, and not as a plaintiff, claimant, or class member in any purported class, collective, consolidated, private attorney general, or representative proceeding. The arbitrator may not consolidate the claims of more than one party and may not preside over any form of class or representative proceeding. You and Fund Ready USA each knowingly and voluntarily waive any right to a trial by jury. This waiver in 17.5 is not severable. If it is found unenforceable as to any claim or request for relief, then this entire Section 17 shall be null and void as to that claim or request for relief, which shall instead proceed in the courts identified in Section 18 — but the remainder of these Terms shall remain in full force.

17.6 Your right to opt out. You may opt out of this Section 17 by sending written notice within thirty (30) days of the date you first accepted these Terms. The notice must include your name, your business name, the phone number or email you provided, and a clear statement that you wish to opt out of arbitration. Send it to hello@fundreadyusa.com or to Fund Ready USA LLC, 1818 SW First Ave, Miami, FL 33129. Opting out affects only this Section 17; the remainder of these Terms continues to apply, and opting out will not affect your funding request in any way.

17.7 Time limit for claims. To the maximum extent permitted by law, any claim arising out of or relating to these Terms, the Site, or our services must be brought within one (1) year after the claim arises, or it is permanently barred. This limitation applies equally to both parties.

17.8 Survival. This Section 17 survives termination of these Terms and any expiration or termination of your use of the Site.

18Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law rules. For any dispute not subject to arbitration under Section 17 — including any claim within the exceptions in 17.4, any claim for which Section 17 is found null and void, and any action to enforce an arbitration award — you and Fund Ready USA agree to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida, and each party waives any objection to that venue on grounds of inconvenient forum. If any provision of these Terms is found unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Site.

19Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes will be noticed as required by law. Your continued use of the Site after an update means you accept the revised Terms.
